1. Introduction
This Terms and Conditions Agreement ("Agreement") is between AENTE, Inc. ("Company") and the healthcare provider or organization ("Provider"). This Agreement outlines the terms under which Providers can use AENTE’s platform, designed to facilitate the management of healthcare services, operations, and data.
By accessing or using the AENTE platform, Providers agree to comply with and be bound by this Agreement.
2. Services Provided
AENTE provides an Enterprise Resource Planning (ERP) platform for healthcare and wellness Providers, including functionalities such as:
- Business operations management
- Patient scheduling and communication
- Inventory and resource tracking
- Data management and reporting
- Compliance support for regulatory requirements
AENTE serves as a software partner and does not provide medical, legal, or financial advice.
3. Provider Responsibilities
Providers are required to:
- Ensure that all data entered into the platform is accurate, current, and compliant with applicable laws and regulations.
- Maintain the confidentiality and security of patient data as required by HIPAA and other relevant privacy laws.
- Monitor and manage their accounts to prevent unauthorized access or misuse.

4. Data Management and Security
- AENTE hosts platform data on HIPAA-compliant servers provided by GoDaddy, ensuring secure storage and backup.
- Providers must implement additional safeguards, such as multi-factor authentication, to secure their accounts.
- Any data breach or unauthorized access must be reported to AENTE immediately.
5. Consent to Treatment
Patients consent to the receipt of services from the designated healthcare provider and agree to provide
prompt updates to any personal information changes. They are also responsible for the fees associated
with the services directly collected by the provider. AENTE is not involved in payment, refund, or
dispute processes.
6. Payment and Refunds
Payments are made directly to the healthcare provider. AENTE is exempt from any payment-related disputes.
Refund terms are governed by the provider’s policy or applicable law which prescribes a fair value for
services rendered before reimbursement.
7. Insurance and Services
Patients agree that some services may not be covered by insurance, and providers are not responsible for
verifying insurance coverage. It is advised that patients maintain health insurance for services not
covered under specific agreements.
8. Designated Provider
Service provision will be under the care of a designated licensed provider. Patients acknowledge that the
designated provider might occasionally be substituted by a qualified temporary replacement as necessary.
9. Term and Termination
This Agreement is effective upon the User's first use of the AENTE platform and remains in effect until
terminated by either party. Users may terminate their accounts at any time by direct notification to
AENTE or the healthcare provider.
10. Communications
Providers consent to receive communications via electronic means, which may include protected health
information. All electronic communications bear risks of insecurity, and users must adhere to additional
communication protocols if timely responses are not received.
11. Independent Medical Judgment
Providers maintain autonomy in medical judgment and decision-making processes, free from influence by
this Agreement.
12. Liability and Dispute Resolution
- Liability Limitation: AENTE, its affiliates, officers, employees, agents, partners,
and licensors shall not be liable for any direct, indirect, incidental, special, consequential, or
exemplary damages resulting from your use of the platform.
- Indemnity: You agree to indemnify and hold harmless AENTE from any claims, damages,
expenses, including attorney’s fees, arising from your use of the platform or your violation of this
Agreement.
- Dispute Resolution: Governed by the laws of the State of Delaware, disputes arising
from this Agreement will be resolved in the courts where the provider is located.
6. Fees and Payment
- Providers are responsible for all fees associated with their use of the AENTE platform as outlined in their service agreement.
- AENTE is not involved in payment collection or disputes between Providers and their patients.
7. Independent Medical Judgment
Providers retain full autonomy and responsibility for medical decision-making and patient care. AENTE’s platform serves as a tool to facilitate services but does not influence or assume liability for medical practices.
8. Intellectual Property
- The AENTE platform, including all software, tools, and content, is the exclusive property of AENTE, Inc. Providers are granted a limited, non-transferable license to use the platform in accordance with this Agreement.
- Unauthorized reproduction, modification, or distribution of the platform’s content is strictly prohibited.
9. Liability and Indemnification
- Limitation of Liability: Under no circumstances shall AENTE, its directors, employees, or agents be liable for any direct, indirect, incidental, or consequential damages resulting from the use of the platform.
- Indemnification: Providers agree to indemnify and hold harmless AENTE, its affiliates, officers, and employees from any claims, damages, or losses arising from their use of the platform, breach of this Agreement, or violation of applicable laws.
10. Dispute Resolution
- Governing Law: This Agreement is governed by the laws of the State of Delaware.
- Dispute Resolution: Any disputes arising under this Agreement will be resolved through binding arbitration in the jurisdiction where AENTE is located.

12. Compliance with Laws and Regulations
Providers must:
- Comply with all federal, state, and local laws governing their use of the platform.
- Ensure that their use of the platform aligns with industry standards and regulatory requirements, including HIPAA.
13. Provider Data Sharing and Interoperability
- Consent for Data Sharing: Providers within the AENTE network agree to share patient data for the purpose of continuity of care, in compliance with applicable laws and regulations, and subject to patient consent.
- Public Account Authorization: Providers must explicitly select the "Authorize Data Sharing" option under the Edit Profile settings to make their account visible to other medical institutions.
- Patient Data Visibility: Providers within a specific location will only access patient data if the patient has booked an appointment with the same provider and location.
- Secure Access: Providers can request access to patient data using unique access tokens provided by AENTE for secure retrieval.
14. Changes to Terms and Conditions
AENTE reserves the right to modify this Agreement at any time. Providers will be notified of significant changes and must accept the updated terms to continue using the platform.
15. Acknowledgment and Agreement
By using the AENTE platform, Providers acknowledge that they have read, understood, and agree to these terms and conditions. Providers also agree to comply with any additional guidelines or policies provided by AENTE.
